Universal Truckload Services, said it will acquire LINC Logistics Co, an asset-light third-party logistics provider, in a stock-for-stock transaction that is worth roughly $335 million and includes the assumption of debt.
Warren, Mich-based Universal said the purchase and combination of the two services will create one of the largest asset-light, full-service logistics offerings in North America.
Universal typically provides transportation services to shippers throughout the U.S. and in Ontario and Quebec, Canada. It offers flatbed and dry van trucking, rail-truck, and steamship-truck intermodal services alongside brokerage offerings.
LINC offers value-added logistics services to the automotive and manufacturing industries, as well as dedicated truckload, expedited, and freight forwarding packages in North America. In the 12 months ending March 31, 2012, LINC generated $301 million of revenue.
Closing of the transaction is subject to customary closing conditions, including expiration or early termination of the waiting period and successful completion of Universal’s new refinancing.
